Terms of Service

These Terms and Conditions (hereinafter, the "Terms") govern access to and use of the file backup service known as CELBKP (hereinafter, the "Service"), provided by InfoGuille (RUT 200100430018) (hereinafter, the "Provider"). Use of the Service constitutes full and unreserved acceptance of every clause set out here. Users who do not accept these Terms must refrain from using the Service.

1. Purpose and description of the Service

The Service allows the user to automatically copy the photographs, videos and other files stored on their mobile device to a computer they own. The Service operates in two modes:

• Local mode (your own Wi-Fi network): the transfer takes place directly between the mobile device and the computer, within the user's own local network, with no involvement of the Provider's servers.
• Web mode (outside the local network): when the mobile device is not on the same network as the computer, the transfer is carried out through an intermediate transit server operated by the Provider, which forwards the files to the user's computer and deletes them once receipt is confirmed.

2. Accounts and licence

2.1. Access to certain features of the Service, in particular web mode, requires an active paid licence.

2.2. Payments are processed through the available payment methods. The licence renews according to the contracted billing period until the user cancels it.

2.3. The user may cancel the licence at any time. Cancellation takes effect at the end of the period already paid for, and does not give rise to a pro-rata refund for the current period, unless applicable law provides otherwise.

2.4. The Provider may suspend or terminate the licence in the event of non-payment or breach of these Terms.

3. Web mode usage limits

3.1. The usage limits described in this clause apply exclusively to web mode, that is, to transfers made outside the user's own Wi-Fi network which therefore travel through the Provider's infrastructure.

3.2. Backups performed within the user's own Wi-Fi network (local mode) are not subject to any transfer volume limit, since they do not use the Provider's servers.

3.3. In order to ensure availability and fair use of the Service, web mode is subject to reasonable usage limits, which may include, among others, a maximum transfer volume per period, a maximum file size, a maximum amount of temporary storage pending download and a maximum number of devices associated with the account. The limits in force are published on the Service's website and may be updated by the Provider.

3.4. Heavy use — businesses and press. Users whose activity requires heavy use of web mode —including but not limited to companies, media outlets or journalism professionals— may request special terms. To do so, they should contact the Provider by email at mail@celbkp.com, where each case will be assessed and terms appropriate to the required volume will be offered.

4. Acceptable use

4.1. The user undertakes to use the Service in accordance with applicable law and generally accepted standards of conduct.

4.2. The following are expressly prohibited: (i) using the Service to store or transmit unlawful content or content that infringes third-party rights; (ii) sharing account credentials with third parties or exceeding the number of permitted devices; (iii) using web mode as a file transfer or hosting service unrelated to its personal backup purpose; (iv) attempting to breach, overload or circumvent the Service's technical mechanisms or limits.

4.3. Breach of this clause entitles the Provider to suspend or terminate the account, without prejudice to any other action that may be appropriate.

5. Encryption, privacy and user content

5.1. The user retains ownership of all content backed up through the Service.

5.2. All files transferred through the Service —in local mode as well as in web mode— are end-to-end encrypted (AES-256-GCM) using a key that is generated on the user's computer, transmitted to their phone solely through the pairing code and never transmitted to the Provider. Encryption is not optional: without a pairing key the Service performs no transfer at all. Consequently, the Provider cannot access, view or recover the content of the files.

5.3. As a result of the above, the user acknowledges that losing their encryption key will make the content unrecoverable, and that this gives rise to no liability on the part of the Provider.

5.4. The Provider retains only the technical data required to provide and invoice the Service (such as records of transfer volume and dates), without accessing the content of the files.

6. User responsibility for their data

The Service is a file copying tool. The user is solely responsible for verifying that their backups complete correctly and for keeping the originals as their needs require.

7. Suspension and termination

The Provider may suspend or terminate access to the Service in the event of breach of these Terms, non-payment, abusive use, or where required to do so by a competent authority.

8. Limitation of liability and no warranties

8.1. The Service is provided "as is" and subject to availability. The Provider will make reasonable efforts to keep it running, without guaranteeing uninterrupted service.

8.2. To the fullest extent permitted by applicable law, the Provider shall not be liable for indirect, incidental or consequential damages arising from the use of, or inability to use, the Service.

9. Changes to the Terms

The Provider may amend these Terms. Amendments will be announced on the Service's website and take effect upon publication. Continued use of the Service thereafter constitutes acceptance of them.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Eastern Republic of Uruguay. For any dispute arising from them, the parties submit to the competent courts of that jurisdiction.
